any work outside of the agreed scope may require additional fees



timelines may depend on client feedback, access, and third-party integrations



QDev will provide services using reasonable skill and care in line with industry standards.



4. Client Responsibilities



Clients engaging QDev services agree to:



provide accurate information required for project delivery



supply content, branding assets, and approvals in a timely manner



ensure they have the rights to any materials provided to QDev



review deliverables within agreed timeframes



Project timelines may be affected where required information or approvals are delayed.



5. Payments



Payment terms are outlined in each project proposal or agreement.



Unless otherwise specified:



invoices are payable within the stated invoice period



work may be paused if invoices remain unpaid



late payments may incur additional administrative or recovery costs where permitted by law



Third-party services such as hosting, payment processors, or SaaS subscriptions are typically billed separately unless explicitly included in the proposal.



6. Third-Party Services



Projects delivered by QDev may rely on third-party platforms such as:



Stripe



Firebase



Contentful



Google services



hosting providers or cloud infrastructure



analytics tools



QDev is not responsible for outages, pricing changes, policy updates, or service interruptions caused by third-party providers.



Clients are responsible for maintaining their own accounts with these providers unless agreed otherwise.



7. Intellectual Property



Unless otherwise agreed in writing:



QDev retains ownership of its internal tools, frameworks, libraries, and methodologies.



Upon full payment, the client receives rights to the final project deliverables created specifically for their project.



QDev may reuse general techniques, code structures, or design approaches developed during projects provided that no confidential client information is disclosed.



8. Portfolio Rights



Unless otherwise agreed, QDev reserves the right to display completed work in:



our portfolio



marketing materials



case studies



presentations



We will not disclose confidential information or sensitive business data.



9. Confidentiality



Both QDev and its clients agree to keep confidential any sensitive information shared during a project, unless disclosure is required by law or the information is already publicly available.



10. Limitation of Liability



To the fullest extent permitted by law, QDev shall not be liable for:



indirect or consequential losses



loss of profits, revenue, or business opportunities



losses resulting from third-party service failures



QDev’s total liability for any claim related to services provided will not exceed the total fees paid for those services unless otherwise required by law.



Nothing in these Terms excludes liability for fraud, negligence causing death or injury, or any liability that cannot legally be excluded.



11. Availability of the Website



While we aim to ensure the website operates reliably, we do not guarantee uninterrupted availability.



We may suspend or modify the website at any time for maintenance, upgrades, or operational reasons.



12. Data Protection



QDev processes personal data in accordance with applicable data protection laws including UK GDPR and the Data Protection Act 2018.

15. Governing Law



These Terms and Conditions are governed by the laws of England and Wales.



Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
